Change of Auditors

D&T RESIGNS BRITESMILE: Big Four firm Deloitte & Touche has resigned as auditor for teeth-whitening products manufacturer and marketer BriteSmile Inc.
A successor has not been named.
According to a federal filing, Deloitte's reports on BriteSmile financials for the fiscal years 2003 and 2004 did not contain an adverse opinion or a disclaimer of opinion, and weren't qualified or modified as to uncertainty, audit scope or accounting principles.
However, the former auditor did note an inadequacy in internal controls and an improper application of generally accepted accounting principles.

IAH TAPS ROTHSTEIN KASS: International Assets Holding Corp., a financial services holding concern, has engaged Rothstein Kass as its independent accountant, replacing Big Four firm KPMG, which resigned.
The company reported no disagreements with its former auditor, with the exception of a previously disclosed material weakness related to conversion of convertible notes and recognition of office lease expenses.

NEOMAGIC DISMISSES E&Y: Neomagic Corp., a Santa Clara, Calif.-based provider of semiconductor solutions, has dismissed its auditor, Big Four firm Ernst & Young.
A successor has not been named. A federal filing did not state a reason for the dismissal.
Neomagic said that Ernst & Young's reports on the company's financials statements over the past two years contained no adverse opinion or disclaimer of opinion.

FIRST BANCORP RETAINS ELLIOT DAVIS: Troy, N.C.-based First Bancorp has retained the firm of Elliot Davis as its independent accountant, replacing Big Four firm KPMG.
In a federal filing, the holding company of First Bank didn't provide a reason for changing auditors. The company said that it had no unresolved disagreements over accounting matters with KPMG for its two most recent fiscal years.
