Change of Auditors: September 23, 2002

WSI Dismisses E&Y as Auditor: Contract manufacturer WSI Industries Inc. has dismissed Ernst & Young and hired Minneapolis-based Schechter Dokken Kanter Andrews & Selcer Ltd. as its independent public accountant, according to a filing with the Securities and Exchange Commission.

The company said that none of Ernst & Young’s reports during the last two years contained an adverse opinion or a disclaimer of opinion, or have been qualified or modified with regard to uncertainty, audit scope or accounting principle. The firm further said that it had no disagreements with E&Y.

The audit firm furnished a letter to the SEC at WIC’s request stating that it agreed with the company’s statements.

Separately, E&Y resigned as auditor to Unifab International Inc. according to an 8-K filed with the SEC. Unifab, which provides oil-drilling equipment, said that there weren’t any disagreements with the auditor during the period of engagement.

E&Y, however, had raised doubts regarding Unifab’s ability to "continue as a going concern" on the company’s 2001 financials, according to the filing.

D&T Resigns as Ladish Auditor: Big Four firm Deloitte & Touche resigned as independent auditor for aircraft parts manufacturer Ladish Co., according to an 8-K filing with the SEC. Ladish said that Deloitte believed that there was a disagreement over the company’s method of recognition of valuation allowances against deferred tax assets.

Ladish said that Deloitte concluded that the company’s financials for the quarters ended March 31 and June 30 and for 2001, as well as for an as-yet undetermined number of prior fiscal years, would have to be restated in order to come into compliance with generally accepted accounting principles.

Ladish hired Deloitte & Touche as its independent auditor June 27.
