Change of Auditors

Ladish Appoints KPMG to Succeed D&T: Aircraft component manufacturer Ladish Co., of Cudahy, Wis., has named KPMG as its new independent auditor, succeeding Deloitte & Touche.

The company said KPMG worked with Ladish under previous ownership in the 1980s and 1990s.

Deloitte & Touche was named the company’s auditor in June, succeeding Andersen, Ladish’s auditor since 1993. Deloitte & Touche resigned as the company’s auditor Aug. 19, because of a disagreement over the company’s method of recognition of valuation allowances against deferred tax assets.

Last month, Ladish said that its 2001 earnings would increase by 15 cents a share and second-quarter 2002 earnings would decrease by 2 cents a share, each after it decided to recognize the deferred tax benefits as assets.

As a result, Ladish received a Nasdaq delisting notice in August because it failed to file its 10-Q on time. At that time, the company requested a hearing with Nasdaq and said that it was "confident" that it would meet all listing standards once it filed an amended 10-Q.

Deloitte resigns as RTW auditor: RTW Inc., in Minneapolis, a provider of worker’s compensation products and services to employers in the manufacturing, health care and retail sectors, has said that Deloitte & Touche resigned as its independent auditor.

A replacement has not yet been named. RTW said that there were no disagreements with D&T with regard to accounting principles.

In addition, RTW received a delisting notice from Nasdaq, stating that the company failed to meet the exchanges’ minimum share price of $1.

RTW has been given 90 days in which to regain compliance. In order to meet compliance standards, RTW’s common stock must close at the $1 minimum for 10 consecutive trading sessions.

G&C names Grant Thornton as auditor: Tax preparation and financial services firm Gilman & Ciocia, of White Plains, N.Y., has named Chicago-based Grant Thornton as its new independent auditor for the fiscal year ended June 30, 2002, succeeding Andersen.

According to an 8-K filing, during the years ended June 30, 2002 and June 30, 2001, and for the interim period through the termination of the auditor pact, there were no disagreements with Andersen on any matter of accounting principle or practice, or financial statement disclosure.
