State and local tax consulting firm Ryan & Co. announced that it has acquired Royal Oak, Mich.-based JohnBernard LLC, as well as combined with Canadian sales tax recovery firm Robert Brakel & Associates Ltd.

Financial terms of the transactions were not disclosed. The boards of directors for both JohnBernard and RBA have already approved the deals.

JohnBernard will operate under the Ryan name and serve as the firm's Midwest regional headquarters. Founders John Polizzi and Bernie Johnson will join Ryan as principals, with Polizzi remaining in charge of JohnBernard's service delivery operations. In addition to the Royal Oak location, the transaction will add locations in Lansing, Mich., Columbus, Ohio, and Mississauga, Ontario.

RBA will become an operating subsidiary of Ryan & Company and its Brampton, Ontario, office will serve as headquarters for the firm's Canadian operations. Ryan managing principal G. Brint Ryan will serve as chief executive officer of both companies.

After the transaction, Ryan will total annual revenues of more than $200 million -- with more than $150 million in revenues coming from its sales and use tax service line. The company employs more than 600 professionals in 26 North American locations.
