Change Of Auditors

PWC DECLINES RE-APPOINTMENTBig Four firm PricewaterhouseCoopers declined to stand for re-appointment as auditor to Portland, Ore.-based

TRM Corp.

TRM, an operator of ATMs, said in a filing that there were no disagreements with its former auditor during the company's last two fiscal years ended Dec. 31, 2005, and through Dec. 29, 2006. However, PwC noted that it had substantial doubt that TRM can continue as a "going concern," and cited a weakness in internal controls.

At press time, the company had not as yet appointed a new independent accountant.

CONCUR ENGAGES GRANT THORNTON

Concur Technologies dismissed Big Four firm Deloitte & Touche as its auditor and named Grant Thornton as its new independent accountant.

The Redmond, Wash.-based provider of automated solutions for business travel and expenses did not state a reason for the change in its independent accountant.

Deloitte's audit reports on Concur's financials for the years ended Sept. 30, 2005 and 2006, did not contain an adverse opinion or disclaimer of opinion, except that D&T's report for 2006 included a paragraph related to the adoption of Statement of Financial Accounting Standards No. 123(R), Share-Based Payment, on Oct. 1, 2005.

The audit report of D&T on the effectiveness of internal control over financial reporting as of Sept. 30, 2006, contained an adverse opinion because of the effect of a material weakness related to a deficiency in the controls over changes in accounting principles.

Concur indicated that the above disagreements were eventually resolved.
