Change of Auditors: February 8-22, 2004

Cardima Appoints BDO: Cardima Inc., a Fremont, Calif.-based manufacturer and marketer of microcatheter systems, appointed BDO Seidman as its auditor, according to a federal filing. Cardima’s previous independent accountant, Big Four firm Ernst & Young, had resigned after offering a going-concern opinion on the company’s 2002 financials.

Calypte Dismisses Auditor: Calypte Biomedical Corp. dismissed Big Four firm KPMG as its auditor and hired Odenberg Ullakko Muranishi & Co. LLP as its new independent accountant. According to a Securities and Exchange Commission filing, Calypte jettisoned KPMG after the firm informed the medical testing company that the results of an internal investigation related to an SEC investigation were unsatisfactory.

Calypte said that it was cooperating with the SEC.

KPMG said that it would not complete its audit of the 2003 financials until it reviewed Calypte’s in-house audit committee investigation of the SEC probe. KPMG also had raised doubts about the company’s ability to continue as a going concern.

LMI Aerospace Selects Independent Accountant: LMI Aerospace Inc., a St. Louis-based provider of machined parts to the aerospace and defense sectors, hired BDO Seidman as its new auditor, replacing Ernst & Young, which resigned. According to a filing with the SEC, there were no disagreements between E&Y and LMI on accounting matters.

LMI said that its audit committee selected BDO and that its board ratified the appointment.

Spire Seeks Auditor: Spire Corp., a manufacturer of solar energy products, is seeking an auditor after dismissing incumbent KPMG. The company did not state a reason for the dismissal in a federal filing — only that the move was approved by its audit committee. KPMG’s reports on the company’s financials for the years 2001 and 2002 did not contain an adverse opinion or disagreements on any matter of accounting principles or practices.
