AICPA Releases Working Draft of Valuation Guide

The Financial Reporting Executive Committee (FinREC) of the American Institute of CPAs has released a working draft of a new version of one of its valuation guides, and is calling for feedback on a new chapter in the guide.

The draft of the guide, Valuation of Privately Held Company Equity Securities Issued as Compensation, is not being released for general feedback, but just to provide context for the new chapter.

That chapter – Chapter Eight, “Inferring Value from Transactions in a Private Company’s Securities” – aims to provide a framework for evaluating private transactions and secondary market transactions, and their relevance for estimating the fair value of other securities within an enterprise. It was developed in response to feedback on the guide, which was originally released in March 2011.

Also included in the working draft of the guide are Questions and Answers that have been added to Chapter 12; these are also open to comment.
